This Corporation shall not engage in
any profitable activity and there shall be no net earnings which inure to
the benefit of any member, officer
or director. This Corporation is
organized pursuant to Chapter 617, Florida Statue (1993). This
corporation
is tax exempt and presently tax deductible under 501 (C-19) of the IRS Tax
Code.
The following provisions, which govern
operation of the association, have been extracted from the bylaws. The associations'
mailing address is P.O. Box 542066, Merritt Island, Fl 32954. A copy of the bylaws may be
obtained by written request to the association or by E-mail to the Web Master.
Purpose of the Association.
The primary purposes of the Association are, to promote
and cultivate social activities and fellowship ; to provide generally for the recreational
betterment of its members; to provide for the voluntary and mutual assistance,
entertainment and enjoyment and social improvement of its members; to conduct reunions and
meetings to promote and cultivate the social binding of its members from time to
time. Membership is generally composed of persons, spouses and family member
or friends that were stationed with the 306th Bomb Wing at McCoy Air Force
Base in Orlando, Florida.
Membership
The Members of this Corporation are those persons having
membership rights in accordance with the provisions of these Bylaws. This Corporation will
have four (4) classes of Members that are designated as Regular, Lifetime, Inactive and
Honorary as described below. The Corporation's Members consist of those persons or their
spouses who were previously stationed with the 306th Bomb Wing at McCoy Air Force Base
(including widows and former spouses of such persons) or any friends of the 306th Bomb
Wing at McCoy Air Force Base as determined at the discretion of the Board of Directors and
who pay their dues as set forth herein:
Regular Members. Regular Members shall be subject
to all the rights and obligations of the Corporation. Regular Members are those Members
who pay annual dues as set forth herein.
Lifetime Members. Lifetime Members shall be
subject to all the rights and obligations of the Corporation. Lifetime Members are those
Members who have previously paid lifetime dues, as determined by the Board of Directors,
or any qualified persons who subsequently pays an amount equal to the lifetime dues as set
forth herein.
Inactive Members. Inactive Members are those
Members who are qualified persons and who are listed on the Corporation's Membership list
who do not pay annual dues as set forth herein and those Members who have requested to be
placed on the inactive roster. Inactive Members shall not be entitled to any rights or
obligations as members of the Corporation.
Honorary Members. Honorary members shall be those
persons who are spouses of the deceased lifetime members and other persons that the Board
of Directors determines should receive the distinction and recognition as Honorary members
of the association. Honorary members of the association shall have no rights or
obligations as members of the corporation, which means that they shall not pay dues, nor
will they have any voting rights.
Membership in this Corporation is nontransferable and
nonassignable. Membership in this Corporation will terminate on any of the following
events, and for no other reason:
Receipt by the Board of Directors of the written
resignation of a Member, executed by such Member or his or her duly authorized
attorney-in-fact.
The death of a Member.
The failure of a Member to pay dues, fines, or
assessments on or before their due date.
For cause as may be determined by the Board of Directors.
Dues
The dues payable to the Corporation by Members will be as
follows:
Active Members. Active Members shall pay annual
dues as may be determined from time to time by resolution of the Board of Directors, but
at no time in an amount less than $15.00 per year (currently $35.00 per year). The first
annual dues will be payable and submitted in full with the application for membership.
Future annual dues will be payable in advance on the first day of each fiscal year
(currently 1 January).
Lifetime Members. Lifetime Members' dues will be
in such amount as may be determined from time to time by resolution of the Board of
Directors but at no time in an amount less than $100.00 (currently
$150.00). The dues will be payable in full
and submitted with the application for lifetime membership.
Inactive Members. Inactive Members shall not be required
to pay any dues to the Corporation. Any inactive member can become an active member upon
submitting an application for membership along with dues for an Active Member or Lifetime
Member, as applicable.
Meetings
Meetings of Members will be held at any place or places
within or without the State as the Board of Directors designate by resolution duly
adopted.
The regular meeting of the Members will be held
biennially in conjunction with the biennial Reunion at such time and place as determined
by the Board of Directors.
Special meetings of the Members may be called by any of
the following: (a) The Board of Directors; (b) The President.
